香港公司新查冊安排及周年申報費用更新
Hong Kong Companies Registry will implement Phase 2 of the New Inspection Regime of the Register with effect from 24 Oct 2022. Please find this article for your reference on the key amendment on the policy and the required actions to follow.
Starting from the Commencement Date, the director’s information on the Index of Directors on the Register will be replaced as follows for public inspection: - (Please find the bellowed example for your reference)
Usual residential addresses (URAs) → Correspondence addresses
Full identification numbers (IDNs) → Partial IDNs
香港公司註冊處將於2022年10月24日起實施登記冊新查冊安排的第二階段。請參閱本文內容了解新規例的關鍵變更，以及你應採取的準備行動。
由實施日期起，登記冊中董事索引所載的董事資料會以下列方式更改，讓公眾查閱：（請參閱下圖為例）
董事的通常住址 → 董事的通訊地址
完整身分識別號碼 → 部分身分識別號碼
The URAs of directors and full IDNs of directors, company secretaries and some other individuals (such as liquidators and provisional liquidators) (“Protected Information”) contained in documents delivered to the Registry for registration on or after the Commencement Date will NOT be provided for public inspection. The disclosure of protected information of directors and other individuals pursuant could only be applied by “specified persons[1]” according to the section 12 of the Companies (Residential Addresses and Identification Numbers) Regulation (Cap. 622N).
在實施日期當日或之後交付本處登記的文件中所載的董事的通常住址，以及董事、公司秘書及某些其他人士（例如清盤人及臨時清盤人）的完整身分識別號碼，不會提供予公眾查閱。只有「指明人士」[1]可根據《公司（住址及身分識別號碼）規例》（第622N章）第12條向公司註冊處處長申請披露董事及其他人士的受保護資料。
Correspondence address of natural person director(s) into the register of directors
將自然人董事的通訊地址記入董事登記冊
SDG建議香港公司的董事登記冊於2022年10月24日以後的首個周年申報表日期前都載有所有自然人董事（包括備任董事）的通訊地址。如未遵從該規定，該公司及其每名責任人均屬犯罪，可各處第4級罰款，如有關罪行是持續的罪行，則可就該罪行持續期間的每一日，另各處罰款700元。
SDG suggests Hong Kong companies’ register of directors must contain the correspondence addresses of all natural person directors (including reserve directors) before its first annual return date on or after 24 October 2022. Failing which the company, and every responsible person of the company commit an offence, and each is liable to a fine at level 4 and, in the case of a continuing offence, to a further fine of $700 for each day during which the offence continues.

1. Correspondence Address 通訊地址
Please be reminded to reach SDG on your selection of your correspondence address, by using our registered office service or your companies’ registered address on or before your company’s annual renewal, as Hong Kong Company Registry requests companies to update their correspondence addresses after the commencement of Phase 2 on 24 October 2022.
請知悉你需要於公司年檢前通知SDG你將會選用通訊地址服務或提供自然人董事通訊地址給SDG為你登記入本地公司備存的董事登記冊內，以符合香港公司註冊處要求在2022年10月24日第二階段實施後更新有關地址資料。
2. Office’s Registered Address Service 註冊通訊地址服務

3. Annual Return Fee周年申報費
After 30 September 2022, the exemption of Annual Return Fee will be ended, the cost will be applied to all companies registered in Hong Kong Company Registry. Please contact SDG on the fee adjustment of the companies’ annual return.
2022年9月30日之後，香港公司註冊處的周年申報費豁免期正式結束，屆時所有註冊公司將會在交付周年申報表時被一併收費。請聯絡SDG了解更多你的周年申報費用的變動。
